Terms of Use

1. What Phoebe is

Phoebe is software that researches investment opportunities and places orders on a brokerage account you already own, within limits you set. It is a tool. It is not a brokerage, not an investment adviser, and not a financial planner.

2. What you are agreeing to

By using Phoebe you agree to these terms. If you do not agree, do not use it. You must be at least 18 and legally able to enter a contract.

3. You authorise it to trade

This is the most important term. Please read it.

When you complete setup and enable auto-investing, you authorise Phoebe to place buy orders on your brokerage account without asking you first, within the limits you have set. Orders will be placed when you are not watching, including while you are asleep.

You can withdraw that authorisation at any time by turning auto-investing off in Settings, which stops all further orders immediately.

4. Your limits

You are responsible for the limits you set. Phoebe enforces them, and enforces its own ceilings above them, but it cannot know whether the amount you chose is sensible for your circumstances.

5. Not advice

Nothing Phoebe produces is investment advice or a recommendation. Its research, reasoning and orders are the output of software operating on rules you supplied. We are not a fiduciary and owe you no duty to assess whether an investment suits you.

6. Risk

Investing involves risk, including the loss of the entire amount invested. Automated investing carries its own risks: software can fail, market data can be wrong or delayed, brokers can reject or misprice orders, and an automated decision can be a poor one. Past performance does not indicate future results.

7. Your brokerage account

Your relationship with Robinhood or Webull is governed by their agreements, not ours. They hold your money and execute your orders. We are not responsible for their outages, pricing, execution quality or decisions.

8. Your responsibilities

  • Keep your account credentials and device secure.
  • Give accurate information during setup.
  • Review your journal and holdings periodically.
  • Use Phoebe only for your own account, and only where it is lawful for you to do so.

9. What you may not do

Do not attempt to circumvent the limits or safeguards, reverse engineer the service, use it to manipulate a market, or access another person's account.

10. Availability

We aim to keep Phoebe running but do not guarantee it. It may be unavailable for maintenance, or interrupted by a failure at a broker, a data provider or a hosting provider. During any interruption the safe state is that nothing is bought.

11. Beta

Phoebe is currently in private beta, provided free and as-is. Beta software is more likely to contain defects. Features may change or be removed.

12. Fees

When paid subscriptions launch, they are sold by Apple through the App Store. Apple's terms govern billing, renewal and refunds. Cancel in iOS Settings; request refunds from Apple.

13. No warranty

Phoebe is provided "as is", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that it will be uninterrupted, error-free, or that any investment will be profitable.

14. Limitation of liability

To the fullest extent permitted by law, we are not liable for any trading losses, lost profits, or indirect, incidental, special or consequential damages arising from your use of Phoebe. Our total liability for any claim will not exceed the greater of the amount you paid us in the twelve months before the claim, or one hundred US dollars.

Some jurisdictions do not allow certain exclusions, so parts of this may not apply to you.

15. Indemnity

You agree to indemnify us against claims arising from your misuse of Phoebe or your violation of these terms or of any law.

16. Ending it

You may stop using Phoebe at any time and ask us to delete your account. We may suspend or terminate access if you breach these terms or if we must do so for legal or security reasons. Turning off or terminating never sells your holdings.

17. Changes

We may update these terms. Material changes will be shown in the app before they take effect, and continuing to use Phoebe after that means you accept them.

18. Governing law

These terms are governed by the laws of the State of Texas, without regard to conflict of laws rules.
